AGM And Board Meeting on the same day

Yes the Company can conduct its Board meeting and AGM on the same day.But the BM should be held fist.

No u can't fix AGM date in that Board meeting.It requires 21 days clear notice.Shorter notice is possible only  95% of shareholders given their consent to act as such.

If u trake approval for shorter notice, AGM date cant fall on the same day, it needs 21 clear days period

Yes a BM and AGM can be hold on the same day subject to the compliance of section 171(2)(i).

Adopt notice of AGM in the same BM and authorise director/CS to send shorter notice.

Section 171(2)(i) is an exception of section 171(1). If you adopt the route of section 171(2)(i) then there is no need to remember 21 days provision.

Please find enclosed herewith sample shorter notice consent form for your reference.

Get it signed from the shareholders (100% consent required) and keep it in your records. Also disclose everything in the minutes of BM regarding shorter notice process.
