We are wanting to change the name of an LLP. Whether it is mandatory to execute a new agreement/supplemental agreement upon receipt of new Certificate of Incorporation or not? If yes, kindly quote the provision stating so.

Dear Hem Shah,

The procedure for change of name of limited liability partnership is governed by limited liability partnership agreement and the provisions of (Section 19) of Limited Liability Partnership Act, 2008.

Section 19 says Any limited liability partnership may change its name registered with the Registrar by filing with him a notice of such change in such form and manner and on payment of such fees as may be prescribed.

It is always beneficial to file the deed with the latest facts with the ROC.

Regards
