Voting rights of cumulative preference shares

Section 87 of Companies Act says that a preference shareholder shall be entitled to vote on every resolution placed before the company at any meeting, if the dividend if the dividend due on such capital or any part of such dividend has remained unpaid- in the case of cumulative preference shares, in respect of an aggregate period of not less than two years preceding the date of commencement of the meeting.

 

In this connection, I wanted to know what if the dividend remains unpaid for two years due to inadequate profit or loss? The case is that since the company suffered loss it could not declare dividend. Would this be covered under 'unpaid dividend'? Is dividend not declared will mean 'dividend remaining unpaid' in this case? 

In this case, will the cumulative preference shareholders get the same voting rights as that of equity shareholder?

Since no dividend was declared, there is no dividend due for payment. For cumulative pref shares, dividend for the year of loss is to be paid in the year of profit. So if, there is no profit yet, then I dont think that the dividend is unpaid.

Since preference shareholders are entitled to a fixed rate of dividend, dividend has to be paid even if there is no profit. Declaration of dividend is needed only in case of equity shareholders. So, if the company suffered loss and no dividend could be paid, it would be considered as 'unpaid dividend'. I'm quite sure about this but not 100% positive, so you might want to re confirm.

Answer to your query is given in Section 87 itself.  Pl refer Explanation to Sec.87(2)(b) which reads as under:

 

Explanation : For the purposes of this clause, dividend shall be deemed to be due on preference shares in respect of any period, whether a dividend has been declared by the company on such shares for such period or not,—

(a) on the last day specified for the payment of such dividend for such period, in the articles or other instrument executed by the company in that behalf; or

(b) in case no day is so specified, on the day immediately following such period.
