Dear Members, 

Is it mandatory for unlisted public company to seek central governmt approvl for appointment of manager with the remuneration exceeding the limit in Schedule XIII in the light of recent amendments by MCA? Should special resolution needs to be passed and form 25A & form 23 need to be filed for the same? Request learned members to respond ASAP.

Recent amendments with respect to Remuneration committee are applicable to Listed Company and their subsidiary and not unlisted company.  

 

So, You have to file form 25C and Form 23. Special resolution also needs to be passed.
