 suppose if a member or proxy has 10 votes then he may put his 6 voted in favour of resolution and 4 against the resolution or he may use 3 votes in fafour of resolution and 7 votes agaist the resolution in simple words votes like money which u can spent on both against the resolution or in favour of resolution in the proportionate u wish

in case of votting by poll every shareholder has votes  as many as he has share
