Transfer of Shares ( AOA AND MOA corresponds to Companies Act 1956 only)

Hello all , there is a company of 1991. We have shown transfer of shares of one shareholder in 2018-19 . The AOA has the power to transfer shares nut the AOA isnt revised . WIll this transfer considered as valid or we need to revise AOA and MOA as per companies Act 2013 . How can we show such transfer in 2018-19

This AOA is of incorporation only and corresponds to Companies Act 1956

No need to revise AOA. Just pay the stamp duty and keep record of form SH-4. And the transfer shall be reflected in annual returns.

Share transfer will be valid assuming Company has complied with ll requirements of Companies Act, 2013.
