Let me know the procedure plz on following:
pvt ltd co.. 2 dir., 3 promotors
one dir resigned n later another dir died.
Promotors want to close the company without appointing any new director.

Strike off of a company

A Dormant Company shall have minimum 2 Directors in case of Private Company ,( Section 455 of Companies Act 2013)
Company shall make application in Form MSC 1 to Registrar to obtain the status of Dormant Company after passing special Resolution in general meeting.
Registrar after Considering the application in Form MSC 1 issue a Certificate in form MSC 2 allowing the status of dormant Company
The Registrar shall inititate the process of striking off the name of the Company if Company remains dormant for period of 5 years.
If Company fails to comply with the requirement of Section 455 of Companies Act 2013, Registrar shall have the power to strike off the name of the Company
