Hi all

I want to Know about following in relation to Section 25 companies

1. what is the procedure to Form Sec 25 Company ?

2. Is it now complteley Automated or still need to visit offices or file hard copies of documents ?

3. with a view of Education Institute what is more beneficial to incorporate with capital or without capital?

4. If with capital - can shares be issued at premium ?

5. What will be other restriciton regarding Number of Members etc ifincorporated  without share capital?

Procedure for formation of section 25 company is as follows:-

1. Obtaining Digital Signature Certificate.

2.Obtaining DIN.

3.Filing Form 1A (atleast 1+3 names)    

4. Representation before ROC on behalf of Promoters

5.Application to Regional Director for issue of licence

  • Filing Form 24A
  • 3 Printed copies of Moa & Aoa
  • List of Directors
  • Declaration from CS/CA/Advocate
  • Declaration from Promoters
  • Consent to act as directors
  • Statement of Asset & Liabilities
  • Statement of proposed work
  • Statement of estimated income and expenditure
  • Statement of grounds for making application
  • Copy of advertisement/Public Notice
  • Power of Attorney
  • Photocopy of name approval                

 

6.Representation before RD in case of objection

7.Public notice/Advertisement

    AFTER LICENCE ISSUED

Form 1, 18, 32 filing, MOA and AOA printing and letter of authority filing with ROC

IN CASE OF IT BEING A PUBLIC COMPANY 

Certificate of Commencement too is required.

 

THE PROCEDURE IS STILL NOT COMPLETELY AUTOMATED
