can a co. appoint two representatives by passing a resolution to act as a single member on its behalf in a meeting of another co. of which its a member?

Let me explain/share my view to you with the help of the resolution below:

 

“RESOLVED THAT pursuant to the provisions of Section 187 of the Companies Act, 1956 Mr. Rahul Bansal or failing him Mr. Prakash Somani, be and is hereby authorised to act as the representative of the Company at any meeting of the members of ABC Private Limited of which the Company is a member.

 

RESOLVED FURTHER THAT a copy of the resolution duly certified by the Chairman of the meeting be sent to ABC Private Limited, Delhi.”

 

Now both the persons authorised in the resolution cannot vote simultaneously. First right to vote is with Mr. Rahul Bansal. If he failed to register his vote then only Mr. Prakash Somani is entitled to vote on behalf of the company in the capacity of representative.
