can anybody tell me whether a WTD can be appointed by only passing board resolution as per sec.269 and no AGM or EGM to be called.

Hi Swati,
If the appointment is made in accordance with schedule XIII, then such appointment & remuneration shall be subject to the approval by a resolution of the shareholders in general meeting
So you need to get the appointment ratified in the AGM or EGM.
Forms to be filled: Form 32 , Form 23, and Form 25C
The WTD can be appointed by passing board resolution but later you will have to ratify the same in the first general meeting held after his appointment
