SEBI 8(3) Disclosures for dividend

Hello Friends,

We are going to hold AGM in the coming month and will pay the final dividend to the shareholders. My query is that whether we need to file SEBI 8(3) disclosures to the Stock Exchanges with in 30 days of record date.

The record date is that which is fixed for the payment of dividend. The Book Closure or record date is same for the said purpose, which we gernally for A.G.M..

As per my understanding, we have to file the disclosures SEBI 8(3) within 30 days with the stock exchanges.

Please advise.

In my opinion, it is required to be disclosed as on the date of record date.


Every Company whose shares are listed on a stock exchange, shall within 30 days form the financial year ending March, 31, as well as the record date of the company for the purpose of declaration of dividend, make yearly disclosures to all stock exchanges on which the shares of the company are listed, the changes, if any, in respect of holdings of the persons referred to sub regulation (1) and also holding of promoters aor persons having control over the company as on 31st March.
