Resolution for appointment of auditors in a Govt. company

In a government company, the entire share capital is held by a state government? Is such a company required to pass special resolution for appointment of auditors?

The company has not, in its notice of AGM, indicated as a special resolution.  

In fact, the audit is over and approved by the next AGM.

What are the consequential effects?

Urgent please....

The appointment of the auditors would be invalid..

In case of Govt Company, auditor is appointed by COMPTROLLER AND AUDITOR GENERAL OF INDIA (C&AG). The AGM decides the amount of remuneration n al only. Hence appointment is invalid. Regards KRISHNA
