Dear All,
Closely held pub limited company ahs fixed the remuneration of Directors in 2009 according to the provisions of schedule XIII and with the approval of Remuneration Commitee.
Can company give performance incentive to the Directors quarterly above remuneration frm FY 11-12?
If it is allowed then what procedure i need to follow?

You can do so subject to approval of the Remuneration Committee and Shareholders in General Meeting.

But as it is performance incentive so I can not mention any fixed amount in the resolution.So hoe it will be mentioned in the resolution.
