Could any of you pls help with one query..
I've to reappoint Managing Director of a Public Listed Company for another term of 5 years and for the same purpose, SR has already been passed in AGM and am to file MGT-14 for the same
Are Forms MR-1, MR-2 and Dir-12, altogether required to be filed with ROC? Pls correct me with exact procedure.

Section 196: No company shall appoint or re-appoint any person as its managing director, whole-time director or manager for a term exceeding five years at a time
Dear thanks for the reply. . though as far as my understanding is concerned, We can appoint but not exceeding 5 years AT A TIME, though we can re-appoint after completion of the term of 5 years, and that is where I'm bit dicey of what all the forms are mandatorily required to be filed with ROC for such re Appointment keeping MGT-14 apart
DIR- 12 – Particulars of appointment of Directors and the key managerial personnel and the changes among them.
MR-1 – Return of appointment of MD/WTD/Manager.
MGT– 14 -Filing of Resolutions and agreements to the Registrar
DIR- 11 – Filing of resignation with ROC by the Director.
