Query related to conduct of board meetings

Hey Frens can some one clear this doubt ....

A Company has planned to conduct two separate board meetings on consecutive days ...that is on two separate days....and whether the directors are eligible for the prescribed sitting fees of 20k for each day ...which might total to 40 k for 2 days with 2 meetings ..there is no mention about the same in the provisions and the law is silent on it ...it doesn violate any provisions right !!?

Hi Ambarish,

In my opinion, as far as u have matters to be discussed at the board , u can have board meeting any time, anywhere , any place any day. As per law, every quarter there should be a meeting.

I dont see any problem in having 2 meetings back to back, as far as u have agenda matters to discuss, different from the previous one held in earlier meeting.

As regards fees, sitting fees if amount is already fixed in article, the company has to proceed with that.

Other views welcome.
