Dear Friends.

There is a practical problem which I am facing right now. there is a client who want to form a private ltd company. Formation of company is under process. Meantime he is going to make a contract with a party in his name on the behalf of proposed company. now the question is whether that contract can be transferred in the name of proposed company after its incorporation. if yes, how?? whether he should mention in eariler contract about this fact?

In my opinion the contract cant be transfer in the name of company after formation.

is the same person is promoter.....

ya promoters and proposed directors are same

AS PER MY OPINION .

IF SAME PERSON THEN HE CAN MAKE CONTRACT...

Yes, certainly he can make contract on behalf of the proposed company, as we have seen there are many peoples carrying out business will later form a company for same. So all the contracts by them before company formation still continues, if that business has been turned into a Company form.
