Can a director appoint a proxy to attend the Board Meeting ??

Is there any section that prohibits the Directors to appoint a Proxy ??

If the directors are allowed to appoint proxy, then can the proxy be counted for quorum of the Board Meeting ??

A Director cannot appoint his proxy for board meeting. Had it been allowed and had it been the case, there would be no problem of quorum for board meeting. Directors authority as director cannot be delegated.

My Dear Kavin,

 

There is no provision in the Companies Act, 1956 which allows directors to appoint proxy to attend teh Board Meeting.

 

Directors are the senior most person of the Company (in terms of position). The Material and the substantial decisions are taken by them only.

 

Although a concept of Alternate Director exists in the Companies Act, 1956.
