icdr regulations relating to preferntial issue are applicable in case pf pvt co. .???,

Yes because of the preferential issue is one of the source available to pvt co. For issue of shares. And selected group of persons in preferential issue so selected group is a pvt group or pvt allotment.

how will be the pricing of the issue then.? icdr regulations pricing formula based on infrequently or frequently traded.. pvt co. doednt have listed shares

Sorry, if pvt company is listed than icdr applicable( pvt company get listing on the babies of debt security then pvt required to follow icdr), otherwise unlisted company follow the company law with unlisted company ( preferential allotment) Rule 2003
