Power of Attorney

Hello,

We are into forming a private limited company. We have received the name approval from ROC. We want to submit the MoA, AoA and other Forms along with Power of Attorney.

Since the company is not yet formed, only name is approved,

(1)who will sign the power of attorney. 

(2)Can  anybody provide me the copy of Power of Attonery.

(3)Also what will be the amount of stamp paper on which it should be taken.

Haresh Sir,

Subscriber to MOA have authority to sign POA for incorporation.If one of the subscriber is parent Co. then any director of such co. can sign POA for Co.

POA can be made on stamp paper of Rs.100

I think in case of POA the following will be sufficient:

POA can be made on stamp paper of Rs.100 if subscriber/director is more than 2.

POA can be made on  stamp paper of Rs. 20 in case of sigle subscriber/director or Rs. 50 in case of two subscribers/directors.

Thank you very much for your reply. It is very useful for me.

Just 1 thing to ask in the above POA duration is not mentioned. So do i need to mention the same that, this POA is valid from today till the date certificate of incorporation is issued.

Also confirm whether i have to register the POA.

It is not required to give any specific time limit for validity of POA, but you can just write  as  that Mr. ......... is authorised to collect the COI from the concerned ROC, i think this is the last step for incorporation of a new company.

I agree with Mr. Ajay Sir, as this POA specificaly mentions its purpose you are not required to mention period .

further if you mention time limit , you may require to make another POA, if authorised person fails to collect COI within specified period.
