What is the minimum period to maintain annual returns, certificates, register of members etc? Please provide reference to relevant company law provisions?

In this regard please read Rule 2 and 3 along  Schedule of Companies (Preservation and Disposal of Records) Rules, 1966.

There is no period mentioned for the Minutes records. So can we destroy them after some period, by mentioning in the register mentioned in Rule 4

Preservation of minutes and other records

 

Th Minutes of all meetings should be preserved permanently. Where, under a scheme of arrangement, a company has been merged or amalgamated with other company, the minutes of all meetings of the Board and committees of the transferor company should be preserved permanently by the transferee company, notwithstanding the fact the identity of the transferor company may not survive such arrangement.

 

Office copy of notices, agenda, and notes on agenda and other related paper should be preserved in good order for long as they remain current or for ten years, whichever is later, and may be destroyed thereafter under the authority of the Board.
