Dear Friends

I have filed form 23 for change in name of the Company. The same got approved by ROC. Even after form 23 approval, the old name is reflected in the master data.

Kindly let me know the procedure for changing the name of the existing Company. I already filed form1A & Form 23 and the same got approved.

Hi Varadharajan,

Apart from filing Form 1A and Form 23, filing of Form 1B for Central Government's approval for Name Change by the Company is required

yes after approval of form 1B you will see changed name in master data

Dear Mr. Varadharajan,

As u said that u have filed Form-23 with concerned ROC and after that the mane has not been changed. After filing form 23 you shall also file Form 1B and mention the SRN of Form-23 in Form-1B along with attachment of minutes of general meeting in which name was approved by shareholders.

Mr. Vardharajan 1. Form 1B required to be filed for obtaining Central Government approval apart from filing form 1A and 23. Procedure for filing form 1B 2.You have rightly filed form 1A and 23 preceding filing of form 1B. 3. Enter particulars ofeform 23 filed with ROC in form IB(I believe you might have attached altered MOA and AOA as an attachments to eform23) 4. In case of companies incorporated in MCA21 System, system will automatically display the name of the company at the time of incorporation. in all other cases, this will have to be entered. ensure that the name entered is correct as the same shall be displayed in the certificate to issued by the ROC office. 5. Enter the details of number of members and number of shares held by them. in case of companies not having share capital, zero may be entered as number of shares held. Attachments required for form 1B * Copy of minutes of the meeting of members where resolution has been passed is to be enclosed * copy of any approval order obtained from the concerned authorities(such as, SEBI, RBI) or concerned department * if change of name is due to change in main activity of the company, a certificate from chartered accountant regarding turnover details from new activity should be enclosed. * copy of any previous approval order taken for change of name of the company.
