if min. no. of directoship of a company falls below the minimum number limit and still company carries on its operations then what are the penal provisions ?
eg - if a public company has 3 directors and one dies and company continues to function for entire 1 year then what will be the consequences ?

Company act 2013 has provided a period to till such vacancy.
3 director is reqiured for BOARD OF DIRECTOR. It does not means that company have not 2 directors.
