Hi, go through sec 117 read with sec 179 and relevant rules for the same for answer to your query......

I have a query....

i am CS of unlisted public company, but i do take care of four more associate company's compliances wherein CS is not req to be appointed. I am to file MGT14 for those companies... All my directors are outside India. So there is no Authorised signatory to sign certified true copy of resolutions of those companies, even though I have the DSC of those directors for e-form. In this case, can the Board of those four companies (minutes are prepared by me) authorise an official in my company to sign the documents and CTC???? Does Board has the power for the same????  or should the AUthorised signatory be an officer of that particular company?????

 

I ask this query, keeping here the fact tht board do authorise outside third party thru resolutions for carrying on business activities....

Maya, Board can authorise to any employee of the Company as an Authorised Person to sign, execute, submit etc... doc relating to the company / business through proper resolution in their Board Meeting.

VIMP : TAKE RESOLUTION from all these company Board.

Thanks Sandeep... but my query was authorisation of an official outside the organisation. Say for example CFO of a group company. To elaborate, can directors of company A authorise an official of its group / associate company B, as authorised signatory for company A? to sign documents, CTC and all? Given tht both companies share same directors?

yes, in the group company board can authorise to any person of the other company. It is general Practice also, no illegal.
