I need your opinion on following;
A compnay S Pvt Ltd WOS is merged with H Ltd pursuant to Court Order. Court Order for the the same has approved scheme as it is without any modification.
Scheme of merger provides that, Transferor Company i.e. S Pvt Ltd shall stand dissolved without being wound up and without further acts by parties.
Form 21 for registering Court Order has been filled by both the Companies and same has been approved by ROC.
Now, S Pvt Ltd is woud-up as per scheme pursuant to court order, however name of the Company is still appearing on MCA.
Do we need to file any other form to intimate ROC for winding-up of S Pvt Ltd or it ie deemed to be wind-up...?
