15 April 2013Can someone please provide me with a board resolution draft for authorising director of the company to file a suit in court of law against lessor/others. Is a board resolution actually required or is power of attorney the appropriate document?

Board Resolution for the meeting in which u decided to file a suit and authorised a person who will take necessary steps in this regard is only for Company Records..
Power Of Attorney is necessary for filing suit.
Members Please correct me if i am wrong.

Yes, Board resolution is required. However, it is not necessary to pass separate resolution for each and every case. A general resolution can also be passed as per attached draft for all legal matters.
