No of resolution will be one, however it also depend upon how company is passing reesolution.

Mandatory attachment will be certified true copy of resolution and explanatory statement for the same.

For Change of name you will have to pass a special resolution. Change of articles for what reason? For implementing the name change or for some other reason? If it's for name change there is no need for a separate resolution. When the resolution for change of name is passed, it is construed to have approved necessary changes in MOA and AOA as well.  The notice of the GM alongwith explanatory statement, certified copy of SR and amended MOA and AOA (incorporating new name) needs to be filed with Form 23. However if the change of articles is due to some other reason, a separate resolution may be pssed.

As regards members change, your query is not clear.

no there will be a change in name of the company only. There will be no change in the main object.

as regarding change of members it was posted wrongly. it is alterations of memorandum not memebers.

so concluding it as of there will be registration of 1 resolution only..
