Forfeiture & Re-issue of shares

Dear all,

1.) I want to know if a Private Limited Company forfeits partly paid up shares, is the Company required to file any specific Form to intimate ROC about happening of this?

Also, if the Company re-issues the forefeited shares, is it required to file any specific Form to intimate ROC about happening of this?

Further, how the changes shall be specified in the balance sheet for both forfeiture of partly paid up shares and re-issue of those shares?

Will appreciate your help.

Hi,

there is no provisions in the Companies Act with regard to forfeiture of share of the Company and in this regard a company has to follow the regulations of AOA. Please have a look on your Company 's AOA and strictly follow the procedure of forefeture and re-issue of shares accordingly.

Dear Mr. Chandan,

There is no form to be filed with the ROC for re-issue of forefeited shares.
