Can A company file MSC-2 (application for Dormant status) if it has not filed form 20A (commencement of business). It is been one year since the company was incorporated. INC20-A still not filed?

Quick Summary
This discussion addresses whether a company can apply for dormant status (MSC-2) if it hasn't yet filed the commencement of business form (20A), especially after a year of incorporation. While dormant status is typically for companies not conducting business or filing accounts for two years, the key issue here is the prerequisite of Form 20A. It appears that filing Form 20A is mandatory before MSC-2 can be submitted, as the system will likely prevent the dormant status application without it. Failure to file 20A could lead to the company's name being struck off by the Registrar of Companies.

Company file msc 1 for obtaining dormant status if company not carrying business or if not filing FS from. 2 consecutive years or if not made significant accounting transaction from 2 consecutive year . (if inc 20a not been file by company in that case ROC itself Strike off the name of company from register)

We need the dormant status of the company for the time being. We dont want the ROC to strike off the name.

My question is if the company has not filed 20 A, can it file MSC -2 ? or it is mandatory to file inc 20 A before filing msc 2?

  • A dormant company shall file a declaration annually in Form No. MSC-3 within thirty days from the end of each financial year.
Yes you can file MSC 2

You have to file inc 20A also.

to check:

Please try to fill the form and do pre-scrutiny, you will get pop - up.

System will not accept any form unless form 20A is filed.
