However there are other consequences as well until the KYC is done:

Consequences on a Director of non-completion of DIN KYC:
a. DIN gets Deactivated by MCA
b. He can’t be appointed as director in any new Company or LLP
c. He can’t resign from any Company or LLP (Filing of DIR 11)
d. He can’t mention his DIN on any document in relation to Company.
 
Consequences on a Company of non-completion of DIN KYC of a Director:
a. Company shall not be able to file any annual form like AOC-4 and MGT-7 with ROC
b. Company shall not be able to file any other form with DSC of director whose din has been deactivated.
c. Company shall not be able to get any documents signed from such Director and mention his DIN no.

Directors with an active DIN must file DIR-3 KYC by June 30 of the relevant year.

The penalty for not filing by June 30 is Rs 5,000 ,  this applies whether you file the form late or you need to reactivate a deactivated DIN.

Two things to note for 2026:

1. The filing frequency has changed. From March 31, 2026, DIR-3 KYC Web is now required once every three consecutive financial years instead of annually. If you have already filed it in one of the last two financial years (FY 2024-25 or FY 2023-24), you may not need to file again this year ,  check your status on the MCA portal.

2. The DIN deactivation consequence is significant. If your DIN gets marked inactive for non-KYC, you cannot sign any company filing (board resolutions, annual returns, ROC forms) until it is reactivated ,  which itself costs Rs 5,000.

Check your DIN status at mca.gov.in > MCA Services > Check DIN Status. If filing is due, use DIR-3 KYC Web form with your OTP-linked mobile and email.
