One of my client (Pvt. Ltd.) has raised capital from 1 lac to 40 lacs as on 08/06/2010.
whether the Company should obtain compliance certificate from CS for the financial year 2009-10 for annual filing.
what capital structure should be mentioned in annual return and form 20B for 2009-10 (As per 1 Lac or as per 40 Lacs) as the annual eforms(23AC, 23ACA & 20B) shows the paid up capital of Rs. 40 lacs.
No, The Company is not required the Compliance Certificate..
Form 20B is related to the Date of AGM, So, Data of that date to be taken on record
Where as the Form 23AC and 23ACA relates to 31st March of every years, So, Take the data of that date..

Compliance Certificate is taken for the year ended 31st March whereas Form 20B and Annual Return are prepared as on the date of AGM. So, Annual Return will be made according to a capital of Rs. 40 lakhs and Form 66, 23AC & ACA will be filed with a capital of Rs. 1 Lakh.
