I am Director in Company HTCRGCSM Education Pvt. Ltd. which was registered on 13-06-2012. The return for year 2012:13 was submitted by CS of my company.
I have some problem with my second director of company. He has no interest to fill the return. Is this possible to fill the return by me only (One Director Only).
Or any way in which shows to Govt. that I am not responsible for that.
You can do one thing that all attcahments which you need to file with Annual Filing Forms, mention there Sd/- just above the name and designation of Director and file them with ROC.
This will serve your purpose.

No Shilpa, this will not be correct advice. Rule 8(6) of Companies (Registration Offices & Fees) Rules 2014 clearly provides that scanned document shall be of original signed document. Hence scan copy of Sd/- document will not serve the purpose. Further, this is not advisable more particularly in case of a dispute.
In case of non-cooperation you have no option but to remove him as a director or file application with CLB for relief.
Okay Sir, may be this is a dispute case so this will not be right.
