Change of private limited company name

Hello All

We are trying to change our company's name to our newly preferred name and our audit firm is asking for Rs 10,000 for it. They say there are extra charges they have to cough up(managing) for securing our new name which they claims he got with great difficultly after convincing(read:manage) ROC . The new name has similar sounding company names in MCA's database but we have a trademark and wordmark registration for the new proposed name. The audit firm for the same name has for a year stalled changing the name because they said its impossible for changing the name to a similarily sounding company name but ever since we have presented our trademark certificates they are claiming that with their good relations with ROC that they have managed to secure an approval for the change. Their stance is that even with a trademark certificate it is highly impossible to get an approval. What is the official fees for changing a company's name? I've googled before writing this post and from what I can gather Rs 500 is the changing fee.

Any feedback would be greatly appreciated.

Hi,

for name change first you have to file form 1A giving your preferences for maximum 6 names to the ROC. If the ROC approves any of the names specififed, it will provide you a certificate for the same, stating that the specific name has been allotted to you and further that it will be valid for only 60 days. However, if ROC rejects the name, it will ask you to file form 1A again. So with the same initial form 1A SRN, you will get 2 more chances without any fees.

Secondly, after approval of form 1A and certificate, you will need to receive the approval of the members in a GM. After the same, prepare the documents and file form 23 and thereafter file form 1B.

23 - 500

1B-1000

Total-2500

It depends upon the professional who does your work... fees may not be same for assignments taken by each professional... If the same aassignment is given to some other professional he may charge more or less... It is better that you would have got a quote before the assignment is given...

Much thanks Vandana J Doshi! You're reply was helpful. I guess the remaining fees is the services charge of ROC and the audit firm. Aashish Jain the concerned CS in the audit firm took offence for us asking the same since we knew him from 10 years.
