PQR Pvt. Ltd. has 3 members. One of the member(foreign company) changed its name from ABC Limited to XYZ Limited w.e.f. October 2014. But PQR Pvt. Ltd. did not change its name in share certificates of ABC Limited.
What is the procedure at the end of PQR Pvt. Ltd. to effect the change of name in the Share certificate?
Please provide the relevant provision.
Just pass Board resolution and note change of name in share certificate under signature of authorised officer. Even after change of name legally entity remains same and there is no change in ownership.
Does PQR need to issue duplicate shares in the name of XYZ or Just make an entry in the Memorandum of Tranfers at the back side of the Share Certificate?
