A private ltd. company wants to change his auditor in mid tern (on account of his change in location and non co ordination from previous auditor).

In this condition ----- What is the procedure to take central government's permission?

- What if one fails to obtain such permission??

Please answer in detail............

Hi,

Convene BM and Approve draft Application.

There is not any Prescribed form for the Application, You have to write a letter to Regional Director and attach,

1. MOA and AOA

2.Demand Draft of requisite Fees

3. Reasons for Removal

Also deliver a copy of the same to ROC.

On Approval convene BM to fix Gen Meeting.

Then appoint the auditor in the Gen Meeting by passing an ordinary resolution.

Appointment of auditor is valid till the conclusion of the next AGM.  Hence the best option is to take a letter from the auditor stating that he is not interested in being reappoined in the AGM and then take consent letter from the new auditor.  In such case in AGM new auditor can be appointed in place of retiring auditor and no consent of Central Govt will be required since it is not resignation of director.
