I have following qeries regarding 'Buy Back' od shares by 'Unlisted Public Limted Company'"
1. Any valuation rules applicable to the Unlisted Publis Limited company for buy back of its own shares.
2. If the Company wants to back buy back the shares in November, 2010 then Share Capital, Free Reserves shall be considered of as on 31st March, 2010 or as on current date?
3. After 31st March, 2010 in Septemebr 2010 company has allotted preference shares with premium. Whether these shares can be bought back? or the Share Capital as on 31st March shall be considered?
4. wheter securities premium account created in septemebr can be utilised as a source of buy back?
5. For calculating the ratio of Debt to Capital and Free reserves, debt as on the date of completion of buy back shall be considered or debt as on 31st March, 2010 shall be considered?
6. Is it compulsory to give the offer of buy back to all the shareholders?
7. How to calculate the rate for buy back?
