no.. u just need to pass a board resolution..
approval of roc is required for opening branch office of foreign company

For foreign company approval of ROC + RBI approval is also required to obtain in form number FNC-1
No approval is required to obtain for opening branch office of domestic Company from ROC. Only Board resolution is enough...
