Yes its necessary to convene EGM pass necessary resolution and file Form 23 from the date of passing SR (Within 30 Days).

Agree with Nidhi. For inserting bonus clause in AOA, you need to amend the AOA for which you have to hold EGM and pass a SR and file form 23 within 30 days of passing the SR.
