We have a Private Limited Company with 4 Board Members and 4 Shareholders
3 Board members together hold 99.96% shares
4th Board Member holds 0.04% shares
The Board members holding 99.96% shares don't want the 4th board member with 0.04% to attend any board and AGM meetings.
What options we have other than removing from Directorship and surrender of 4 shares to not send any notifications for board meetings and not invite to any AGM meetings to this 4th Director? The remaining 3 Board members and shareholders don't want any such obligation to keep things simple.
Any guidance is appreciated.
