Board meeting should be held in every quarter. i.e one board meeting in Jan to Mar, other in April to June & so on. If one board meeting is adjourned in a quarter and the same held in the another quarter, then also Sec. 285 is not contravened[Sec. 288(2)]
The Adourned board meeting for quorum has to be constituted in the same day same venue and at the same time on next week.
