Can a Pvt. Co. get its account aproved in abroad??
The Pvt Co. is having 4 directors but 2 are foreign directors and 1 is out of India and the remaining one is in India.So can the single director approve the accounts or can the Co. hold its meeting abroad and get its accounts approved there?

No. The BM can not be held in India due to lack of quorum u/s 287.
However there is no restriction on holding BM in foreign for any agenda. But quorum should be there u/s 287.
There is no guidance in Companies Act relating to place of meeting of BOD unlike the place of AGM. More expert views in this matter would be needed
