Appointment of md and cfo

MD and CFO can be appointed in the meeting of Board.

However, the appointment of MD need to be ratified by members in the General Meeting of members to be held any time after the appoitment of MD. It may be even Annual General Meeting where the appointment of MD can be ratified.

But from which date MR 1, Dir 12, and MGT 14 reckoned. From board meeting date or general meeting date.

In case if your company is Private Limited Company, then no need of shareholders approval as well (Section 196(4) and 196(5)) was exempted to Private Limited Companies vide Notification dated 05th June, 2016. Accordingly you are also not required to file Form MR-1.

I guess, you need to file Form DIR-12 and MGT-14 within 30 days from the date of Board meeting.
