Appointment of foreign director

If he has already DIN, you can then get a consent letter and a declaration by the person being appointed that he is not restrained/disqualified/ removed of, for being appointed as director of a company under the provisions of the Companies Act and file the form 32 in MCA site.

Form 32 is repealed. As per Companies Act, 2013, return of appointment of director is to be filed with ROC in eform DIR-12 within 30 days from the appointment date along with following attachments:-

1. Letter of appointment

2. Consent Letter of appointee director in form DIR-2

3. Self attested copy of  proof of identity like PAN, PASSPORT and proof of residence like PASSPORT (forming part of DIR-2)

3.. Declaration by the appointee director in form DIR-8

4.. an annexure on interest in other entities.(if any)

5.. True extract of board resolution

IF THE DIRECTOR HAS GOT DIN,THEN FOLLOWING PARTICULARS SHALL BE REQUIRED.

cONSENT TO ACT AS dIRECTOR IN FORM DIR 2 IN WORD FORMAT

DISCLOSURE OF INTREST OF DIRECTOR THAT WEATHER HE IS THE DIRECTOR IN ANY OTHER COMPANY IN FORM MBP 1 IN WORD FORMAT

FORM DIR 8 GIVING DECLARATION THAT HE IS NOT DISQUALIFIED TO ACT AS DIRECTOR AS PER SECTION 164 OF COMPANIES ACT IN WORD FORMAT

PROOF OF IDENTITY AND RESIDENCE PARTICULARLY PASSPORT FOR FOREIGN NATIONAL AND FRRO

FILE FORM DIR 12 WITHIN 30 DAYS OF APPOINTMENT TO ROC ALONG WITH FOLLOWING ATT

LETTER OF APPOINTMENT

CONSENT TO ACT AS DIRECTOR IN FORM DIR 2

INTREST IN OTHER ENTITY IF IN MORE THAN ONE ENTITY

COPY OF BOARD RESOLUTION

Please go through Section 170(2) of Companies Act, 2013 and Rule 18 of Companies (Appointment and Qualification of Directors) Rules, 2014.
