AGM and NOTICE Date

Dear All,

The Board of Directors signed the Balance Sheet on 20-08-2010, then the AGM & Notice date ?  When Can I submit the return ?

Hold a board meeting on 20-08-10 to transact the following agenda:

 

1. Adoption of Annual accounts

2. Adoption of board report u/s 217

3. Adoption of Auditors' Report

4. Finalising the notice of AGM.

 

In this BM you may fix the date of AGM on or after 14-09-10 considering 21-08-10 as dispatch date for AGM notice.

In additions to the answer of Mr. Ankur Garg....

You should file Balance Sheet within 1 months of the date of AGM and after the expiry of 1 month period with additional fees.

 

Annual Return should be filed within 2 months from the date of AGM and after the expiry of 2 month period with additional fees.

I think it would be more appropriate to say that Balance sheet  should be filed within 30 days from the date of AGM and Annual return within 60 days from the date of AGM.

Correct me if i am wrong..........

Yes Vaibhav, you are absolutely right.

Apropos, can anyone pls guide me whether Notice of AGM can be another date than that of signing of balance sheet date, like Notice date is 3/9/2011 and AGM date is 29/9/2011.

 

Pls. clarify, its urgent.

Yes, why not? But make sure notice date is after the date of balance sheet signing date and better if 25 days gap is also mainatined. 

But my question is can notice date be before and different date that of balance sheet signing date.

The date of Notice can be of different date but it should be done at last so Notice date can be of different date but after the date of signing of Balance Sheet.

I agree with our learned member Mr. Ankur Shrivastava.

Date of notice can be different from the Board Meeting. In the Board Meeting, accounts are approved by the Board and the decision is taken about the date of AGM and issue of notice to members. So anytime after the Board Meeting, AGM notice can be issued. However notice cannot be issued before the Board Meeting. Further please note that a minimum of 21 days notice is to be served to the members before AGM.

It is not mandatory to maintain 21 days in between notice and AGM for a private company.....
