after start of the AGM, due to members not approving the dividend, the accounts have to be revised and placed before the members for adoption.Can the AGM happen on the same day after a few hours during which the Board can meet and redo the accounts? If so any ROC approval is needed? Also should the Director's report, auditor's report and the accounts should be redated and is also a fresh notice required for the adjourned AGM?

1. First start and adjourned the AGM. Prepare minutes of this AGM and mention that AGM will resume at 5 pm or such other time as may be agreed.

 

2. Hold the board meeting and revised the accounts. Also revised the audit and board report if required and get audit report signed by the statutory auditor.

 

3. Hold the adjourned AGM with business hours and conclude.

 

 

Above is very much possible. No need to take ROC approval. No need to send fresh notice to shareholders. However the same is properly covered in the minutes of AGM and Board meeting.
