how much time gap (maximum) is permissible between the date of auditors report and the date of AGM

its the 1st AGM of the Co and the due date for holding AGM is 31st Dec 09. auditors gave the report dt 30th sept but Board wants to hold the AGM only in Dec.  

Please share your views

Hi,

If you are sure that due date for holding AGM is 31st Dec 09 then there is no problem. You may hold your AGM in december in the present case.

in that case what could be the date of notice of AGM.

as the auditors report is dt 30th sept, the BM in Oct took note of the same and directors report was approved. The BM did not discuss abt holding AGM

the proposed BM on 7th will decide the date of AGM and issue notices.

Just wanted to be sure that we are not violating any provision ..

If you approve the AGM notice in your proposed BM on 7th then it is perfectly all right as far as section 171 and  21 days notice is concerned.

But in that case you have to hold your AGM on 31.12.2009 and not before.
