An independent director, who is a woman whould fit in the definition of both "woman director" as well as "independent director".

So yes, in my opinion the same woman can be counted for compliance of both the requirements of 1 woman director and prescribed no. of independent directors in case of listed cos. and certain public companies. This would not amount to any contravention of the Act.
