I am in the process of incorporating a pvt ltd company (Karnataka, Bangalore). There are just two subscribers and I am one of the subscriber. While filing form 32 I either need a Manager or a CS. Can I have my details be filed for a manager, Can a Director be a manager as well. If no please provide me with suggestions and options.
Yes, A director can also become the manager in the same company as well. There is no restriction on such appointment. But a person can not be appointed as manager in two or more companies without approval of the CG. There may be contract of service or not.

If you are filing Form-32 at the time of incorporation of the company you can file same as using your ( director) signature. There is no restricition for using digital signature.
If both are subscriber and director then you can use their signatures.

Form 32 can contain details of directors alone. CS is required only if the paid up capital is more than 5 crores and that too he need not be appointed at the time of incorporation itself. It's not necessary to have a manager. Hence give details of directors alone in Form 32 and any one of the director scan digitally sign Form 32.
