Is verbal resignation sufficient for a resigning director if articles are silent in this regard....

no, on appointment of director, records would be submitted to ROC. So as long as we gives retireing info he will be the responsile for the offences/or any other liability.

a director can, subject to the articles, resign his office, and cannot withdraw his resignation without the company’s consent. A director can resign by word of mouth. Where director’s resignation is accepted by the board, he is not liable for a report made and the dividend recommended after that time, though his resignation was not disclosed to the company
Sorry nagaruju sahab Director can give verbal resignation because companies Act Silence in this regard
