Can somebody send me notes on applicablity of US GAAP that enable me to find out that on a particular US based company the US GAAP will be applicable or not and if applicable which GAAP it has to follow ?

My friend have to maintain books of accounts of a US based private Ltd. company as per US Law now he is seeking whether US GAAP will be applicable or not for the same because it is not a bit company.
So he required the critaria of applicablity of US GAAP.
