What is the procedure with related documentation/resolutions, to transfer say 5000 equity shares (one Share Certificate is issued for these 5000 equity shares) of a pvt. ltd. company held by resident individual shareholder, say 3500 equity shares to a non-resident individual and balance of 1500 equity shares to resident individual?

Non resident individual is proposed to be taking up the shares from the resident indiviual ,therefore, from the FEMA prospective you have fill the Form FC-TRS for such transfer of resident shares to non resident .The form you can download from the RBI website.
